The Firm was recently involved in various matters, cases and assignments in a range of different jurisdictions in Lebanon, the GCC countries, Europe, the BVI and the US:

 

• Assistance with a substantial claim against a trustee organisation affiliated with an international bank, with respect to breaches of trust and fiduciary duty before the Royal Courts in Jersey. These proceedings, which involved claims exceeding $120 m, are particularly well-known to trust practitioners.

• Assistance in relation to extended warranty programs to be set up by European and American automobile manufacturers in Lebanon.

• Assistance to GCC clients in oil industry proceedings relating to unfair prejudice filed before the courts in the BVI against their shareholders, a European oil company.

• Assistance to a European company in the energy sector with businesses located in the GCC countries and Lebanon, and that wished to exit this geographical sector.

• Assistance to GCC clients in the context of negotiation and drafting of franchise agreements to cover a certain number of Middle Eastern and GCC countries in the French luxury leather goods and cosmetics sectors and in the fast food industry.

• Assistance to local distributors in relation to their agreements with a Japanese car manufacturer.

• Assistance for an American Bank concerning the legal aspects of implementing their banking activities in Lebanon; risks of entering Lebanon and their due diligence requirements and to adapt their internal rules with Lebanese regulations.

• Assistance for Lebanese and GCC clients in relation with setting up tailored portfolio investments with various European and GCC bankers and to be implemented though specific coroporate structures incorporated to this effect;

• Assistance in relation to the drafting of Blending agreements;

• Appealing before the Privy Council and filing of a stay of application in the context of a BVI  litigation related to the ownership of shares in BVI companies.

• Assistance in relation to the acquisition of real estate properties in the UAE and the setting-up of the corporate structures to this effect; (for the benefit of Lebanese and Saudi investors).

• Assistance and defense of a client in the context of a family dispute involving $300m, the outcome of which involved the sale of shares in various companies in a large Middle Eastern group and other assets including real estate assets owned by the family members in Lebanon, Europe and the U.S.

• Assistance for a European client in relation to obtaining a licence to operate a hotel-casino in Morocco and the acquisition of real estate in Morocco in partnership with a leading international hotel chain.

• Assistance to Middle Eastern clients in relation to the setting up of trusts and the underlying structures to the trusts in the Channel Islands, the British Virgin Islands and the Isle of Man.

• Assistance for GCC clients with seeking directions in the BVI for the hearing on valuation and  terms of sale of their shares in a BVI company.

• Assistance to Lebanese clients in relation with their understanding of the concept of a Trust and other corporate structures and its conciliation, or not, with Lebanese and Sharia law.

• Assistance for a European company in the energy sector with businesses located in the GCC  countries and Lebanon that wished to exit this geographical sector and the setting-up of a new  corporate structure in neighbouring countries.

• Assistance in relation to filing a claim for the benefit of a Middle Eastern Family against a European bank for breach by the bank’s directors of their fiduciary duties;

• Assistance to a Saudi group in their negotiations for the acquisition of shares in a metal plant producing iron;

• Assistance to GCC clients in relation to the liquidation of companies registered in the Isle of Man acting as a holding company to assets located in Europe and the relocation of assets to a non-offshore entity.

• Assistance and claims in respect of sums totalling USD 50 million unlawfully taken by shareholders from company funds;

• Assistance for Middle Eastern clients in relation to setting up trusts and the underlying structures to the trusts in the Channel Islands, the BVI and the Isle of Man;

• Assistance for Lebanese investors in their investments in Cyprus and Turkey in the textile business and marketing of their products in Middle Eastern countries, including Lebanon;

• Acquisition by GCC clients of real estate in Lebanon and prospects to build a mall;

• Assistance to Middle Eastern clients in their investment in Real-Estate Funds with specific focus on the Mena area;

• Assistance to Lebanese clients in their newly-incorporated activity to acquire branded goods in

• Europe and the US for further distribution in Middle Eastern countries;

• Assistance for a GCC client in relation to the sale of real Estate held in the UK;

• Assistance with the sale of 45 m² luxury yacht and construction of a 75 m² yacht and acquisition of al "luxury town house" in Europe by way of setting up the necessary legal vehicle for such purpose.
